# Terms & Conditions

**1)  PURPOSE**

The purpose of the ANNAPURNA ART PRIVATE LIMITED  website accessible at [<u>https://annapurnaart.com/</u>](https://annapurnaart.com/)  (“**Website/Platform**”) is to provide an online marketplace for the display and sale of Artworks.

“Artwork” here means any original visual art piece listed for sale on the Website by a Seller, including, but not limited to, paintings, drawings, prints, sculptures, mixed-media works, photographs, digital arts or other tangible artistic works created by an artist that are intended primarily for aesthetic appreciation, display, or collection and offered for sale through the Website.

By visiting our site and/or purchasing artwork through the Website, you engage with our **“Service”** and agree to be bound by these Terms and Conditions (“**Terms”, “T\&Cs**”), including any additional terms, conditions, and policies referenced herein or available via hyperlink. These T\&Cs apply to all users of the Website, including any individual or legal entity that accesses, browses, registers, lists or purchases products, or contributes content, including browsers, registered users, buyers, sellers, artists, vendors, and content contributors (“**Users**”).

Please read these T\&Cs carefully before accessing or using Our website. By accessing or using any part of the site, the User agrees to be bound by these T\&Cs. If the User does not agree to all the terms and conditions, then the User may not access the website or use any Services. If these T\&Cs are considered an offer, acceptance is expressly limited to these T\&Cs.

By agreeing to these T\&Cs, the User represents that he or she is at least the age of majority in their state or province of residence, or that the User is of the age of majority in their state or province of residence and has given us consent to allow any of their minor dependents to use this Website.

By using the Website, Users expressly consent to receive all notices, updates, announcements, and other communications from the ANNAPURNA ART PRIVATE LIMITED or Website electronically, including, but not limited to, emails, messages displayed on the Website, or notifications sent through the Website’s interface. Users acknowledge and agree that such electronic communications shall have the same legal force and effect as written notices delivered by postal mail or other physical means. This includes, without limitation, communications regarding updates to account information, order confirmations, payment receipts, shipping updates, promotional offers, or any other information deemed necessary or relevant by the Website. Users further agree to maintain a valid and accessible email address and to regularly check messages on the Website to ensure receipt of such communications.

**2)  GENERAL WEBSITE USAGE CONDITIONS**

2.1 These General Website usage terms apply uniformly and without limitation to all Users, irrespective of whether the User is merely browsing the Website or has created an account, and shall govern all access to and use of the Website unless expressly stated otherwise in buyer- or seller-specific provisions.

2.2 The Website operates as an online marketplace facilitating the display, discovery, and transaction of Artworks and related products between Users. The Platform does not assume ownership of user-listed products unless expressly stated and acts solely as a facilitator of marketplace interactions, subject to these Terms.

2.3 We reserve the right to refuse Service to anyone for any reason at any time.

2.4 The User understands that his or her content (not including credit card information) may be transferred unencrypted and may involve (a) transmissions over various networks and (b) changes to conform and adapt to the technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

2.5 The User agrees not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by Us.

2.6 Notwithstanding any other provision of these T\&Cs, ANNAPURNA ART PRIVATE LIMITED expressly reserves and retains the unrestricted right, at its sole discretion and without prior notice, to:

a. Manage, administer, and govern the Website, including establishing, modifying, and enforcing platform rules, policies, standards, and guidelines from time to time;

b. Monitor, review, screen, and assess User activity, listings, communications, content, and transactions on or through the Website for compliance with these T\&Cs and applicable laws;

c. Suspend, restrict, or terminate any User account, whether temporarily or permanently, and deny access to the Website to any User;

d. Remove, modify, disable, or reject listings, content, or materials uploaded or submitted by a User, in whole or in part;

e. Cancel, reverse, or refuse to process transactions where the Website reasonably determines that such action is necessary to address suspected fraud, misrepresentation, policy violations, technical errors, legal compliance issues, or harm to the integrity of the marketplace;

f. Take enforcement actions, including warnings, penalties, listing limitations, or other corrective measures, against Users who violate these T\&Cs or engage in conduct that the Website deems harmful, unlawful, misleading, or inconsistent with marketplace standards.

2.7 PROHIBITED USES

In addition to any other restrictions set forth in these Terms, Users agree that they shall not, directly or indirectly, engage in any activity that:

a.  Manipulates prices or marketplace outcomes, including but not limited to artificial inflation or deflation of prices, coordinated bidding, sham transactions, self-dealing, or any activity intended to distort fair market pricing;

b. Abuses the marketplace or Website functionality, including excessive cancellations, misuse of dispute mechanisms, creation of multiple accounts to evade restrictions, or actions that undermine marketplace trust or integrity;

c.  Misuses, extracts, harvests, or exploits User data, including personal, transactional, or pricing data, without authorization, or in violation of applicable data protection laws;

d.  Uses bots, scrapers, crawlers, automated tools, or similar technologies to access, extract, copy, monitor, or interact with the Website without the Website’s express written consent;

e.  Engages in or facilitates unlawful, prohibited, or sanctioned activities, including transactions involving stolen property, counterfeit goods, restricted items, or parties subject to applicable trade sanctions, export controls, or legal prohibitions;

f. Violates any applicable law, regulation, or governmental order, or infringes the rights of any third party, including intellectual property, privacy, or consumer protection rights.

g.  to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;

h.  to submit false or misleading information;

i.   to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet;

We reserve the right to terminate use of the Service or any related Website for violating any of the prohibited uses.

2.8 Users shall not use the Platform to identify, contact, or solicit another User for the purpose of completing a transaction outside the Platform, where such transaction originates from or is facilitated through the Website, unless expressly permitted in writing by the Website. Any attempt to divert transactions off the Website, including sharing contact details, directing Users to external payment channels, or otherwise bypassing Website systems, shall constitute a material breach of these Terms and may result in immediate enforcement action.

2.9 All listings, descriptions, images, representations, communications, and other materials uploaded or shared on the Platform (“User Content”) are the sole responsibility of the User who submits such content. The Website does not verify, endorse, guarantee, or warrant the accuracy, completeness, authenticity, legality, or quality of any listings or User Content.

2.10 To the maximum extent permitted by law, the Platform disclaims all liability arising from or related to: (i) Misrepresentations or inaccuracies in listings; (ii) The legality, provenance, authenticity, or ownership of Artworks or products; (iii) Compliance of listings with applicable laws or regulations; and (iv) Any loss or damage resulting from reliance on User Content.

2.11 **MODERATION, TAKEDOWN AND ENFORCEMENT RIGHTS**

Notwithstanding any other provision of these T\&Cs, the Website expressly reserves the right, at its sole discretion and without prior notice, to:

a.  Review, screen, monitor, moderate, or remove any listing, User Content, or User activity;

b. Disable or restrict access to content or listings that the Platform reasonably believes violate these Terms, applicable laws, or platform policies;

c.  Suspend or terminate User accounts, cancel listings or transactions, and take corrective or preventive action to protect the integrity of the marketplace;

d.  Cooperate with legal or regulatory authorities and disclose information as required by law.

The Website does not assume any obligation to actively monitor User activity, listings, or communications. Users acknowledge that the Website’s moderation efforts are discretionary and do not create any duty or liability on the Website’s part.

3. **SELLER TERMS AND CONDITIONS**

3.1 The Seller can register themselves with ANNAPURNA ART PRIVATE LIMITED  to sell the Artwork through the Services. In order for the Seller’s listings to be accepted, he must provide ANNAPURNA ART PRIVATE LIMITED  with all the information requested by ANNAPURNA ART PRIVATE LIMITED  and he must comply with any other ANNAPURNA ART PRIVATE LIMITED  requirements as identified with him. Without limiting the generality of the foregoing, if he submits listings for sale he may be required to verify his identity by separately providing ANNAPURNA ART PRIVATE LIMITED  with a copy of a government-issued ID, tax identification, VAT ID, or similar documentation and information.

3.2 The Seller acknowledges that ANNAPURNA ART PRIVATE LIMITED  reserves the right to promote and market Artwork. The Seller always retains the right to remove a listing from the Services by following the instructions as maybe appearing on seller’s profile by providing a one week's written notice

3.3 The Seller offers the Artworks for sale on the Website. Each proposed Artwork comes along with a brief description containing information on its support, dimensions, weight, and nature. To purchase an Artwork, the Buyer must select the Artwork of his/her choice, place it in his/her shopping cart and fill in the information required for the order (or identify him/herself, if he/she has a user account). Before confirming the order, the Buyer must check the information in the order summary and can correct any errors and agree on the delivery costs.

3.4. The Seller is solely responsible for ensuring that the availability status of their listed products is accurately and promptly updated on the Website. In the event that am Artwork  becomes unavailable for sale for any reason, the Seller must immediately mark the Artwork as “Not for Sale” or otherwise remove it from public listing. If the Seller fails to update the product status accordingly, the Seller shall bear full responsibility for any issues, claims, losses, refunds, disputes, or liabilities arising from the continued display or sale of such unavailable Arrtwork. ANNAPURNA ART PRIVATE LIMITED  shall not be held liable for any consequences resulting from the Seller failure to update product availability in a timely manner.

3.5The Seller acknowledges and agrees that he is solely responsible for all Artwork that he makes available through the Services. Accordingly, he represent and warrant that for all the Artwork that he makes available through the Services, he is  either the sole and exclusive owner of all such Artwork or he has all rights, licenses, consents and releases that are necessary to grant to ANNAPURNA ART PRIVATE LIMITED  the rights in such Artwork as contemplated under these Terms; and no Artwork that is made available through the Services will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, intellectual property rights or other third party rights, or result in the violation of any applicable law or regulation.

3.6The Seller hereby grants ANNAPURNA ART PRIVATE LIMITED  a worldwide, transferable, nonexclusive, right and license, with a right to sublicense, to: (i) use, reproduce, distribute, publicly perform and publicly display copies of the Artwork sales via the sales channels; and (ii) access, view, use, crop, resize, copy, distribute, license, publicly display, publicly perform, transmit and broadcast copies of the Artwork in any form, medium or technology now known or later developed for the purpose of promoting ANNAPURNA ART PRIVATE LIMITED  , the Services.

3.7 The Seller acknowledges and agrees that the ANNAPURNA ART PRIVATE LIMITED   is entitled to a commission or revenue share from the gross sales pric**e** of each Artwork sold through the Website. This commission may be adjusted or communicated by ANNAPURNA ART PRIVATE LIMITED from time to time. The commission will be automatically deducted from the proceeds of the sale before the Seller receives payment.

3.8\*\* \*\*The Seller acknowledges that the net payout received is subject to the deduction of all applicable transaction-related costs. This includes, but is not limited to:

* **(Payment Gateway Fees:** Processing fees charged by third-party providers (e.g., Stripe, PayPal, or local processors);
* **Banking & Intermediary Charges:** Costs associated with wire transfers, SWIFT fees, or intermediary bank handling fees incurred during the remittance process;
* **Foreign Exchange (FX) Costs:** Any currency conversion spreads or fees applied by financial institutions if the sale currency differs from the Seller’s settlement currency.

All such costs, along with the Platform’s commission, shall be deducted from the gross sale proceeds. The Platform is not responsible for fluctuations in exchange rates or additional fees charged by the Seller's own receiving bank.

3.9 The ANNAPURNA ART PRIVATE LIMITED  shall remit the payment to the Seller strictly in accordance with the terms agreed upon in the separate agreement executed between the ANNAPURNA ART PRIVATE LIMITED  and the Seller. Unless otherwise specified in such separate agreement, Seller payouts shall be processed after a period of 14 days from the date of successful receipt of payment from the Buyer, provided that no return, refund, chargeback , or dispute request has been initiated by the Buyer during this period.

3.10 The Seller agrees to uphold and honour all legal guarantees available to the Buyer, including, without limitation, the guarantees against nonconformity and hidden defects.

3.11 The Seller acknowledges that the Platform may be legally required under the laws of Nepal to deduct and withhold applicable advance income tax, withholding tax (TDS), or similar statutory deductions from amounts payable to the Seller. Such deductions shall be made prior to disbursement of funds and remitted to the relevant tax authorities. or international transactions, Artworks exported from Nepal may be subject to zero-rated VAT treatment. Any import duties, taxes, or customs charges applicable in the destination country shall be the responsibility of the Buyer. The Seller remains solely responsible for their overall tax compliance and reporting. 4. **BUYER TERMS AND CONDITIONS**

4.1 As a Buyer, you may purchase Artwork that are listed through the Services. When the Buyer purchase such an Artwork through the Services, the buyer is  purchasing the Artwork from the Seller identified on the listing for such work and not from ANNAPURNA ART PRIVATE LIMITED . Prices for Artwork will be as specified on the applicable listing. Seller acknowledges that prices do not include shipping and handling charges (unless specifically indicated on the Site) or applicable taxes including VAT, if any, for which the seller is responsible and which will be separately identified on the receipt.

\*\*4.2 Specific Cases of Requests For Customisation \*\*

"Customization request" is defined as any change requested by the user that results in modification of the initial characteristics of the Artwork (size, material, aspect...). If the Artwork (in stock or to be produced) is subject to a customization request from the Buyer, the Seller will make a quotation to the Buyer and will wait for its validation before producing the Artwork. The quotation contains a provisional delivery date for the customized Artwork. If ANNAPURNA ART PRIVATE LIMITED has confirmed receipt of payment within 3 working days of the quotation being sent to the Buyer, the sale is then considered to have been concluded under the terms of these T\&Cs. If after 3 working days ANNAPURNA ART PRIVATE LIMITED  has not validated the order by confirming receipt of payment, the order is cancelled.

4.3 The Buyer agrees to provide current, complete and accurate purchase and account information for all purchases made through our Website. He agrees to promptly update his account and other information, including his email address and credit card numbers and expiration dates, so that We can complete the transactions and contact the Buyer as needed.

5. **TERMS FOR BOTH SELLER AND BUYER**

5.1 Sale Price and Payment Terms

The sale price of the Artworks is displayed on the Website in the currency determined by the Buyer without taxes. The different possible delivery methods, and the related costs, are indicated at the time of the order summary before checking out. The delivery and packaging costs depend on the nature of the Artwork, its dimensions, its weight, and the place of delivery. Payment of the price of the Artwork by the Buyer to the Seller is made via the payment services made available by ANNAPURNA ART PRIVATE LIMITED : credit card and bank transfer (the conditions of use of which are available at the following address: [www.annapurnagalleries.com](http://www.annapurnagalleries.com)). The transfer of ownership takes place once the Buyer has paid the full price. In the event of nonpayment of the full price, the sale will be automatically dissolved, and the Artwork will be put back for sale on the Website.

5.2 Delivery Of Artworks

Paintings are delivered to the address indicated in the order summary form, during working hours and in accordance with the terms and conditions laid down by the carrier determined at the time of the order. The Buyer must acknowledge the terms and conditions of delivery of Artworks’ carriers. The obligations relating to the delivery of the Artwork, (compliance with the estimated delivery date, the quality of the packaging of the Artwork, as well as compliance with the fit for purpose obligation), are the sole responsibility of the Seller. ANNAPURNA ART PRIVATE LIMITED  cannot be held liable in any way in the event of the Seller's failure to comply with these obligations. The Buyer is obliged, upon receipt of the order, to check the condition of the Artwork and to express any reserve in writing and without delay, at the latest within 48 hours from the date of delivery to ANNAPURNA ART PRIVATE LIMITED , which will pass them on to the Seller.

5.3  Provision For Return

The Buyer has a period of 14 days from date of the delivery of the Artwork to return the Artwork free of charge (except if the Artwork has been the subject of a request for personalization by the Buyer).This provision is not applicable for Artwork subjected to a customization request. 6. **MODIFICATIONS TO THE SERVICES AND PRICES**

6.1 Prices for our products are subject to change without notice to the Users. The Seller may at any time modify the prices of the Artwork.

6.2 We can at any time discontinue the Service (or any part or content thereof) without notice to anyone at any time. We shall not be liable to the Users or to any third-party for any modification, price change, suspension or discontinuance of the Service.

**7)  PRODUCTS OR SERVICES**

We have made every effort to display as accurately as possible the colors and images of the Artwork. We cannot guarantee that Users computer monitor’s display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or Service made on this site is void where prohibited.

We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by the Users will meet their expectations, or that any errors in the Service will be corrected.

8\*\*)  OPTIONAL TOOLS\*\*

8.1 We may provide the Users with access to third-party tools over which we neither monitor nor have any control nor input. The User acknowledges and agree that We provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to the User’s use of optional third-party tools.

8.2 Any use by the User of the optional tools offered through the site is entirely at their own risk and discretion and the User should ensure that they are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

8.3 We may also, in the future, offer new Services and/or features through the Website (including the release of new tools and resources). Such new features and/or Services shall also be subject to these T\&Cs.

9\*\*) DELIVERY, SHIPPING AND LOGISTICS DISCLAIMER\*\*

Delivery, shipping, tracking, and other logistical information are provided by third-party carriers and service providers . While We make reasonable efforts to ensure accuracy, the Website or ANNAPURNA ART PRIVATE LIMITED   is not liable for errors, delays, interruptions, or costs resulting from third-party services.

10. **DATA PROTECTION**

ANNAPURNA ART PRIVATE LIMITED collects and keep Users’ personal data for the proper execution of the present T\&Cs. ANNAPURNA ART PRIVATE LIMITED reserves the right to keep certain data to justify, if necessary, the perfect execution of its contractual or legal obligations. The data stored in this way will be limited to what is strictly necessary for the operation of the services ANNAPURNA ART PRIVATE LIMITED  undertakes to put in place all the security measures necessary to protect the confidentiality of the information provided by the Users.

11. **DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY**

11.1 We do not guarantee, represent or warrant that the Users use of our Service will be uninterrupted, timely, secure or error-free.

11.2 We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.

11.3 The User agrees that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to them.

11.4 The Users expressly agree that their use of, or inability to use, the Service is at their sole risk. The Service and all products and Services delivered to them through the Service are (except as expressly stated by Us) provided ‘as is’ and ‘as available’ for their use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

11.5 In no case shall ANNAPURNA ART PRIVATE LIMITED  , our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from the Users use of any of the Service or any products procured using the Service, or for any other claim related in any way to Users use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11.6 The display of Artworks on the Platform does not constitute an endorsement of their value. The Website does not guarantee the authenticity of any piece beyond Seller representations, nor does it guarantee future appreciation, resale value, or investment returns. Users are encouraged to conduct independent due diligence regarding provenance and value.

12. \*\* INDEMNITY\*\* The Users agree to indemnify, defend and hold harmless ANNAPURNA ART PRIVATE LIMITED  and officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of their breach of these Terms of Service or the documents they incorporate by reference, or their violation of any law or the rights of a third-party.
13. **SEVERABILITY**

In the event that any provision of these T\&Cs  is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these T\&Cs, such determination shall not affect the validity and enforceability of any other remaining provisions.

14. **TERMINATION** These T\&Cs are effective unless and until terminated by either User or Us. The Users may terminate these T\&Cs at any time by notifying Us that they no longer wish to use our Services, or when they cease using our Website. If in our sole judgment the Users fail, or we suspect that they have failed, to comply with any term or provision of these T\&Cs, we also may terminate this agreement at any time without notice and they will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny them access to our Services (or any part thereof). Upon termination of these T\&Cs, the Website shall cease the active use of Seller content for new promotional purposes. However, the User acknowledges and agrees that the Website may retain and Process (as defined in our [**<u>Privacy Policy</u>**](https://annapurnaart.com/footer/privacy-policy)) such content and Personal Information as required for **legal compliance, statutory tax audits, internal archival purposes, and the maintenance of historical transactional records.**
15. **GOVERNING LAW AND DISPUTE RESOLUTION** These T\&Cs and any separate agreements whereby we provide Users Services shall be governed by and construed in accordance with the laws of Nepal. Any dispute, controversy, or claim arising out of or in connection with these T\&Cs, including the validity, interpretation, breach, or termination thereof, shall be resolved through amicable settlement. If the party cannot reach an amicable settlement within 30 days from the date of initiation of amicable procedure or the settlement procedure is objectively futile to render the waiting of 30 days futile, then the dispute shall be settled exclusively through arbitration. The arbitration shall be conducted in accordance with the applicable arbitration laws of Nepal. The seat of arbitration shall be Nepal.
16. **ENTIRE AGREEMENT** The failure of Us to exercise or enforce any right or provision of these T\&Cs shall not constitute a waiver of such right or provision. These T\&Cs and any policies or operating rules posted by Us on this Website or in respect to the Service constitutes the entire agreement and understanding between the Users and Us and governs their use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between the Users and Us (including, but not limited to, any prior versions of the T\&Cs).

**17) FOREC MAJEURE CLAUSE**

ANNAPURNA ART PRIVATE LIMITED shall not be held liable for any delay, failure, or inability to perform its obligations under this agreement, in whole or in part, arising from circumstances beyond its reasonable control (“Force Majeure Events”). Such events include, without limitation, natural disasters, strikes, labor disputes, pandemics, governmental actions or restrictions, transportation or logistics disruptions, and any other events beyond the reasonable control of  ANNAPURNA ART PRIVATE LIMITED. During the occurrence of a Force Majeure Event,   ANNAPURNA ART PRIVATE LIMITED obligations shall be suspended to the extent affected, and     ANNAPURNA ART PRIVATE LIMITED will make reasonable efforts to mitigate the impact and resume performance as soon as possible.     ANNAPURNA ART PRIVATE LIMITED shall, where applicable, notify affected parties promptly about the nature of the event and any expected delays.
