- ** INDEMNITY** The Users agree to indemnify, defend and hold harmless ANNAPURNA ART PRIVATE LIMITED and officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of their breach of these Terms of Service or the documents they incorporate by reference, or their violation of any law or the rights of a third-party.
- SEVERABILITY
- TERMINATION These T&Cs are effective unless and until terminated by either User or Us. The Users may terminate these T&Cs at any time by notifying Us that they no longer wish to use our Services, or when they cease using our Website. If in our sole judgment the Users fail, or we suspect that they have failed, to comply with any term or provision of these T&Cs, we also may terminate this agreement at any time without notice and they will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny them access to our Services (or any part thereof). Upon termination of these T&Cs, the Website shall cease the active use of Seller content for new promotional purposes. However, the User acknowledges and agrees that the Website may retain and Process (as defined in our Privacy Policy) such content and Personal Information as required for legal compliance, statutory tax audits, internal archival purposes, and the maintenance of historical transactional records.
- GOVERNING LAW AND DISPUTE RESOLUTION These T&Cs and any separate agreements whereby we provide Users Services shall be governed by and construed in accordance with the laws of Nepal. Any dispute, controversy, or claim arising out of or in connection with these T&Cs, including the validity, interpretation, breach, or termination thereof, shall be resolved through amicable settlement. If the party cannot reach an amicable settlement within 30 days from the date of initiation of amicable procedure or the settlement procedure is objectively futile to render the waiting of 30 days futile, then the dispute shall be settled exclusively through arbitration. The arbitration shall be conducted in accordance with the applicable arbitration laws of Nepal. The seat of arbitration shall be Nepal.
- ENTIRE AGREEMENT The failure of Us to exercise or enforce any right or provision of these T&Cs shall not constitute a waiver of such right or provision. These T&Cs and any policies or operating rules posted by Us on this Website or in respect to the Service constitutes the entire agreement and understanding between the Users and Us and governs their use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between the Users and Us (including, but not limited to, any prior versions of the T&Cs).
